Role : Company Secretary
Experience : 7–8 years post-qualification
Qualification : Qualified Company Secretary (ACS / FCS). Law degree (LLB) preferred.

Key Responsibilities
Companies Act, 2013
- Ensure end-to-end compliance with the Companies Act, 2013 across all group entities.
- Draft and review notices, agendas, resolutions, and minutes for Board / Committee / General Meetings.
- Maintain statutory registers, records, and annual filings with MCA / ROC.
- Manage corporate actions such as change in directors, increase in share capital, issue / allotment of shares, buyback, and related filings.
- Advise the Board and management on corporate governance and statutory obligations.
- Coordinate with statutory, secretarial, and internal auditors for audit requirements.
FEMA & RBI Regulations
Handle compliance under FEMA, 1999 and allied RBI guidelines.Manage FDI, ODI, ECB, and cross-border transactions.Prepare and file FEMA returns – FC-GPR, FC-TRS, ODI, Annual Return on Foreign Liabilities and Assets (FLA), etc.Liaise with Authorised Dealers and RBI for approvals and reporting.Provide advisory on foreign remittances, capital account transactions, and overseas investments.Governance & Advisory
Act as a key compliance advisor to management on Companies Act and FEMA matters.Keep track of regulatory changes and update management on implications.Draft and implement compliance frameworks, SOPs, and internal policies.Ensure proper documentation and records management for regulatory inspections.Stakeholder Management
Liaise with regulators (MCA, RBI, SEBI if applicable).Coordinate with legal, finance, and business teams to ensure smooth compliance execution.Support management in corporate restructuring, M&A, and investment transactions.
