Overview
We are seeking a dynamic and experienced Company Secretary (CS) with a strong legal background to lead our secretarial and compliance functions. The ideal candidate must be well-versed in corporate laws, securities regulations, and overall compliance frameworks, with prior experience in IPO / FPO handling for listed companies. This role requires a blend of corporate law expertise, capital markets knowledge, and excellent stakeholder management skills.
Key Responsibilities
Secretarial
- Advise the board of directors and senior management on legal, regulatory, and corporate governance matters
- Prepare and file necessary documents and disclosures for the IPO, including the prospectus, listing application, and other relevant forms
- Coordinate with investment banks, auditors, lawyers, and other external parties involved in the IPO
- Manage due diligence, valuation, pricing, and allocation of the IPO shares
- Preparation of Notices, Agenda & Minutes for Board and Shareholders Meetings
- Maintenance of statutory registers / records as required under the Companies Act
- Filings with ROC / RD / Other relevant authorities
- Ensuring RBI compliances and compliances related to FEMA / ODI
- Ensuring compliances under SEBI (LODR) Regulations
- Charge creation and filing of charges
- Other tasks / compliances under Companies Act and other applicable laws
Legal and Compliance
Compliance with all the applicable laws like FEMA, etc., and keeping track of overall compliance statusDrafting and Review of Agreements / Other Legal documents and Maintenance of signed agreements & keeping track of their validityLiaison with statutory authorities, external consultants, lawyers, etc.Handling of Litigations, if requiredMonthly report to management on status of compliancesMonitoring notices received from statutory authorities and other parties and ensuring appropriate actionAdvising management and internal teams on applicable laws and amendments from time to timeCandidate Profile
LLB and CS (preferably first attempt at all levels)10–12 years of overall professional experience in company secretarial & legal functions, with 6–8 years in a listed entity.Hands-on experience in IPO / FPO, due diligence, and fundraising.Strong understanding of corporate law, finance, and capital markets with excellent drafting, communication, and interpersonal skills.High level of integrity, ability to manage multiple stakeholders, and proactive compliance leadership.
