Job Title : Company Secretary

Job Summary :
You will work closely with the senior compliance / legal team to handle secretarial and regulatory tasks, with a focus on AIF compliance, SEBI filings, GIFT City / IFSC regulatory obligations, and corporate governance matters.
This is a learning role intended to build foundational strength in fund / securities compliance and governance in a dynamic asset management environment.
Key Responsibilities :
- Assist in AIF compliance : preparation, review, and filing of documents required under SEBI AIF regulations (Category I, II, III) and other applicable regulations.
- Support filings / disclosures / regulatory interactions with SEBI, IFSCA (for GIFT City / IFSC operations), ROC, MCA, etc.
- Maintain and update statutory registers, minute books, board resolutions, and company records.
- Draft and prepare board meeting agendas, notices, minutes, resolutions, and coordinating with internal teams for follow-up compliance actions.
- Monitor legal / regulatory updates in the capital markets / alternative investment fund space, relay impacts to internal team, assist in implementing required changes.
- Assist in audit, due diligence, legal reviews, and coordination with external legal / audit teams.
- Support investor disclosures, reporting obligations, fact sheets, NAV certification process (as needed in coordination with the operations / finance teams).
- Liaise with the operations / fund accounting / compliance teams to ensure policy and procedural adherence.
- Assist in setting up new funds, structures, and any cross-jurisdictional / IFSC compliance as required.
- Carry out any other secretarial, legal, or compliance tasks assigned by Qualified Company Secretary (CS) (Institute of Company Secretaries of India), fresher or with up to ~1 year experience.
- Basic understanding of capital markets, securities regulations, SEBI AIF regulations is strongly preferred.
- Good communication, drafting, and analytical skills.
- Detail-oriented, proactive, strong organisational skills.
- Ability to multi-task and work under guidance in a fast-paced environment.
- Basic legal / compliance acumen (comfort reading statutes, regulatory documents).
- Willingness to learn and upskill
