Position Overview
We are seeking a qualified and experienced Company Secretary to oversee the company’s legal, compliance, and secretarial functions across both the Investment (AIF) and Credit (NBFC) verticals. The incumbent will be responsible for ensuring full regulatory compliance with SEBI, RBI, MCA, and other applicable authorities, while managing governance and corporate affairs effectively.
Key Responsibilities
Corporate Governance & Secretarial
- Manage all corporate secretarial functions, including convening and recording Board, Committee, and Shareholder meetings.
- Prepare and maintain statutory registers, minutes, resolutions, and related documentation.
- Ensure adherence to Companies Act, 2013 and RBI guidelines applicable to NBFCs and Investment Companies.
- Support management in policy formulation and board-level reporting.
Regulatory Compliance
Ensure timely and accurate filings and submissions with RBI, SEBI, ROC, and MCA.Oversee compliance under SEBI (AIF) Regulations, 2012, RBI NBFC Master Directions, and Companies Act, 2013.Maintain internal compliance calendars and track all statutory deadlines.Coordinate with external auditors, legal counsel, and regulators for inspections or clarifications.Legal & Documentation
Draft, review, and vet investment agreements, shareholder agreements, loan documentation, and NDAs.Liaise with legal advisors on corporate, regulatory, and transactional matters.Support investment and credit teams in documentation, due diligence, and deal closures.Investments & AIF Operations
Manage compliance requirements related to AIF filings, investor onboarding, and SEBI reporting.Ensure alignment between Fund operations and NBFC investment structures.Coordinate with custodians, fund administrators, and fund managers for governance matters.Candidate Profile
Qualified Company Secretary (Member of ICSI) with 5-10 years of post-qualification experience.Prior experience in an NBFC, AIF, or Financial Services setup is highly desirable.Sound knowledge of Companies Act, SEBI AIF Regulations, RBI NBFC Master Directions, FEMA, and related compliance frameworks.Strong understanding of corporate documentation, investment structuring, and regulatory reporting.Excellent drafting, communication, and interpersonal skills.Additional qualifications such as LLB or MBA (Finance) will be an advantage.What We Offer
