Job Description :
We are looking for a seasoned Company Secretary with 8–10 years of experience to independently manage all secretarial and compliance responsibilities. This is a hands-on individual contributor role suited for someone who can operate with minimal supervision and take full ownership of governance, regulatory, and board-related activities. Prior experience in the financial services
sector is strongly preferred.
Key Responsibilities :
Ensure full compliance with the Companies Act, SEBI, RBI, and other statutory and regulatory frameworks.
Independently manage Board and Committee meetings, including scheduling, drafting agendas, preparing minutes, and tracking action items.
Maintain statutory registers, record, and ensure timely filings with regulatory bodies.
Act as a point of contact with regulators, auditors, legal advisors, and other external stakeholders.
Provide guidance to leadership on corporate governance best practices and policy updates.
Support corporate actions such as share allotments, ESOP implementation, and restructuring, ensuring legal compliance.
Review legal and commercial agreements from a compliance and governance perspective.
Qualifications & Requirements :
Qualified Company Secretary (CS); legal or finance qualifications will be an advantage.
8–10 years of relevant experience, ideally in the financial services sector.
Proven track record of working independently in a fast-paced and regulated environment.
In-depth knowledge of corporate laws, compliance regulations, and board governance.
Excellent drafting, communication, and stakeholder management skills.
High level of ownership, discretion, and integrity.
