Legal and Compliance Specialist

Job Summary :

We are looking for a Qualified Company Secretary (CS) to join team in Mumbai. The ideal candidate will have a sound understanding of Company Law, FEMA, RBI, SEBI regulations, and a proven track record in handling Board Meetings, compliance, and regulatory filings. This role requires strong legal acumen, organizational skills, and the ability to communicate effectively with stakeholders and regulatory authorities.

Key Responsibilities :

• Convene, attend, and record Board Meetings , General Meetings , and Committee Meetings in accordance with the Companies Act.
• Draft agendas, notices, minutes, resolutions, and maintain statutory registers.
• Ensure timely compliance with all provisions of the Companies Act, 2013 and related corporate laws.
• Liaise with regulatory authorities such as ROC, RBI, SEBI, and stock exchanges for statutory filings, approvals, and queries.
• Handle secretarial audits, annual returns, and corporate governance reports.
• Ensure compliance under FEMA and related RBI regulations for foreign investments, ECBs, ODI, and related transactions.
• Assist in drafting and vetting of corporate documents, shareholder agreements, and other legal documentation.
• Keep the management updated on changes in corporate laws and regulations affecting the business.
