Job Description :

1. Conducting AGM / EGM, Board Meetings as required under Companies Act involving issuance of notices, drafting agenda, drafting minutes and preparing reports / Board reports.

2. Representing the organization before Central Government and other authorities and managing work related to Registrar of Companies, RBI, SEBI, NSDL / CDSL, Stock Exchanges, Debenture Trustees and Share Transfer Agents etc.

3. Providing inputs and working to achieve organizational aims; managing merger, de-merger, divestment, subsidiaries, if any.

4. Managing procedural formalities pertaining to Financial re-structuring, Change of Name as well as handling submission of application for Registration of Trade Mark / Copy Right / Patent Mark. Handling incorporation of companies, dematerialization of shares & listing of Shares on Stock Exchanges.

5. Drafting of Notice, Agenda and Minutes of Annual General Meeting, Board and various Committee Meetings.

6. Conducting of Board meetings, various committees meeting, Annual General Meetings and postal ballots.

7. Preparation of the Annual Report, including Boards Report, Management Discussion and Analysis Report, Corporate Governance Report, Business Responsibility Report etc.

8. Maintenance of Statutory Registers and records.

9. Filing of various Forms / Documents with Stock Exchanges, SEBI, Registrar of Companies (ROC), Central Government etc.

10. Well versed with DIN / DSC related issue.

Statutory Compliances :

11. Overseeing timely filing and assessment of requisite filing, as per the provisions of statutory and regulatory bodies.

12. Preparing and filing necessary documents & returns, as required under Companies Act, FERA

13. Interacting with banks & financial institutions for creation of charges / securities & satisfaction of charges.

14. Merchant Banking & Foreign Exchange Dealing

Legal :

15. Drafting and vetting of agreements, power of attorney, various applications etc.

16. Interaction with internal and external stakeholders to manage legal assignments etc.

Education

Bachelors of Law (B.L / L.L.B)
