Job Purpose
The company secretary has a key role to play in ensuring that board procedures are both followed and regularly reviewed. The chairman and the board will look to the company secretary for guidance on what their responsibilities are under the rules and regulations to which they are subject and on how these responsibilities should be discharged. All directors should have access to the advice and services of the company secretary and should recognise that the chairman is entitled to strong support from the company secretary in ensuring the effective functioning of the board.
Key Accountabilities
- Overall responsibility for developing and implementing processes to promote and sustain good corporate governance
- To ensure compliances with the applicable regulations of the Companies Act, 2013 and Rules made thereunder, Banking Regulation Act, 1949 and guidelines issued by RBI from time to time
- To ensure that the constitution of the Board of Directors and various Board level Committees are in line with the applicable regulations and any changes in the same are carried out as per the applicable laws and regulations
- To ensure that the company complies with the applicable ICSI Secretarial standards. Ensure adequate processes and systems are in place to comply with the Secretarial standards
- Ensure compliance with all applicable corporate laws
- Liaise with various regulators and units in the Bank
- Liaise with the Directors of the Bank and with various departments to ensure that the requisite information is placed before the Board & Committees to help them take the informed decisions
Job Duties & Responsibilities
Maintain a register of all applicable laws relating to a company incorporated in India and ensure compliances thereof in coordination with other units and Head Office, as applicable. Ensure an efficient compliance reporting process to highlight all non-compliancesPreparation, authorization and filing of Annual returns within statutory time limitArranging board / general meetings and preparing minutes thereof. Arranging meetings of the directors and the shareholders. This responsibility will involve the issue of proper notices of meetings, preparation of agenda, circulation of relevant papers and taking and producing minutes to record the business transacted at the meetings and the decisions taken. Advising directors on their duties, and ensuring that they comply with corporate legislation and the Articles of Association of the CompanyAdvising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines made thereunderMaintenance of secretarial records, statutory books and registers. Deciding on the company's policy for the filing and retention of documents. This includes maintenance of statutory records in electronic formAdvising on Corporate Structure of the organizationAdvising the Bank on the changes in the applicable laws and regulationsEnsure full compliance with the Memorandum and Articles of Association of the CompanyFiling of forms / documents / returns in electronic form with Registrar of Companies / Ministry of Corporate Affairs and other statutory authorities while ensuring overall compliance with Companies ActProvide secretarial support to the CSR activities of the Bank, including conducting meetings of the CSR Committee and obtaining its approvals for various programsRepresent on behalf of the Bank before National Company Law Tribunal, Competition Commission of India, Securities Appellate Tribunal, Registrar of Companies, Other quasi- judicial bodies and Tribunals, if requiredAdvising companies on Compliance of legal and procedural aspects, particularly under –SEBI Act, Securities Contract Regulation Act and rules and regulations made there underForeign Exchange Management ActConsumer Protection ActEnvironment and Pollution Control LawsLabour and Industrial LawsMergers and Amalgamations and Strategic AlliancesForeign Collaborations and Joint VenturesSetting up subsidiariesCompetition Policy and Anti-Competitive PracticesIPR Protection, Management, Valuation and AuditRequirements
