Role Purpose : The Company Secretary Assistant Manager will play a crucial role in supporting our compliance department by ensuring adherence to the Companies Act, corporate governance principles, and all statutory obligations. This position is vital in maintaining our corporate integrity and facilitating seamless operations across various regulatory frameworks.
Key Responsibilities :
- Support all company secretarial activities including compliance, documentation, and meetings in accordance with the Companies Act, 2013, and related regulations.
- Assist in the preparation of the Annual Report and ensure its compliance with statutory requirements.
- Oversee compliance and procedures related to dividend disbursement, buyback of shares, and issuance of bonus shares.
- Ensure timely filings with the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and other regulatory authorities.
- Collaborate with internal teams to ensure adherence to corporate governance best practices.
- Maintain up-to-date knowledge of relevant laws and regulations impacting the organization.
- Provide support in audits and liaise with auditors to ensure smooth completion of processes.
Team Collaboration : You will work closely with a team of 4 dedicated professionals in the compliance department, fostering a collaborative environment to achieve common goals and uphold the company's standards.
Requirements : Requirements
Education :
Master's degree (preferably in Corporate Law or a related field).Qualified Company Secretary (CS)Experience :
Qualified Company Secretary (CS) with 6-8 years of experience post-qualification.Professional experience in both listed and unlisted companies.Technical Skills :
Strong knowledge of Company Law, corporate governance, and compliance requirements.Proficient in MS Office Suite and other relevant software.Experience with ROC compliance, MCA filings, and audit processes.Soft Skills :
Excellent written and verbal communication skills.Strong organizational and time management abilities.Able to work efficiently in a fast-paced environment.Certifications :
