Job Summary :
The Company Secretary will ensure that the organization complies with statutory and regulatory requirements, maintain corporate governance standards, and manage all secretarial and legal matters of the company. The role requires strong knowledge of company law, regulatory compliance, and coordination with stakeholders, auditors, and government authorities.
Key Responsibilities :
- Ensure compliance with the Companies Act, 2013, and other applicable laws and regulations.
- Prepare, draft, and maintain Board and Committee meeting notices, agendas, minutes, and resolutions.
- Handle ROC filings such as annual returns, financial statements, and other statutory documents.
- Maintain statutory registers and records including shareholding, directors, and key managerial personnel.
- Coordinate with Registrar of Companies (ROC), SEBI, Stock Exchange, RBI, and other regulatory bodies.
- Support the Board and management in corporate governance practices and decision-making processes.
- Assist in drafting and vetting of agreements, legal documents, and contracts.
- Manage share capital activities — share transfers, issue of shares, and dividend declarations.
- Ensure timely filing and documentation for incorporation, mergers, name change, and other corporate actions.
- Liaise with internal departments, auditors, consultants, and legal authorities.
- Advise management on compliance risks, governance frameworks, and statutory amendments.
Qualifications & Skills :
Qualified Company Secretary (Member of ICSI).Bachelor's degree in Commerce, Law, or related field (preferred).Strong understanding of Companies Act, SEBI Listing Regulations, FEMA, and other corporate laws.Excellent drafting, communication, and presentation skills.Proficiency in MS Office and e-filing systems (MCA portal).Strong attention to detail and ability to manage multiple priorities.Experience Required :
