JOB PURPOSE :
Responsible for ensuring compliance with the mandatory requirements outlined in the Companies Act, 2013 and overseeing adherence to all relevant legal provisions applicable to the company including the mandatory Secretarial Standards.
ACCOUNTABILITIES & RESPONSIBILITIES :
Regulatory Compliance
Ensuring compliance with the Companies Act, 2013, and other applicable laws including the mandatory Secretarial Standards.
Monitoring statutory obligations and filing required documents with regulatory authorities well within the prescribed timelines with 100% accuracy
Assisting organization's Company Secretary for implementation and execution of various group level pro-active regulatory compliances, corporate governance best practices in India and abroad, benchmarking with industry peers etc.
Board and Committee Support
Organizing and facilitating board meetings, drafting agendas, and recording minutes as per SS1 and 2
Assisting with compliance and disclosure requirements
Managing stakeholders relations and communications
Corporate governance and Compliance Audits
Safeguarding and keeping updated company records, including statutory registers in easy retrieval mode
Conducting / facilitating internal audits and coordinating external audits
Keeping the company updated on legislative changes impacting business operations
Ensuring 100% accurate compliances with zero non-compliances
SKILLS & KNOWLEDGE : Technical Skills :
Updated knowledge on Companies Act 2013, SEBI LODR, FEMA, RBI guidelines and other applicable Corporate Law & Compliance including Secretarial Standards, Corporate Governance, Regulatory Filings & Documentation, Financial & Secretarial Reporting, Stakeholder Management and Technology & Digital Compliance.

Required Years of Experience :
18 to 20 years with minimum 10 years in listed company preferred
Required Qualification :
Bcom, CS and LLB (preferred) – Rank holder or 1st attempt preferred
