Responsibilities
Regulatory & Statutory Compliance :
Ensure compliance with :
- Companies Act, 2013
- SEBI (LODR) Regulations
- Secretarial Standards (SS-1 & SS-2)
- Other applicable laws and regulations
- Filing of returns, reports, and disclosures with MCA, SEBI, RBI, and stock exchanges.
SEBI & Stock Exchange Compliance :
Ensure compliance with SEBI Listing Regulations.Handle filings such as shareholding patterns, corporate announcements, press releases, etc. on stock exchanges (BSE / NSE).Manage Insider Trading policies, disclosures, and reporting requirements.Board and Committee Meetings :
Organize, coordinate, and manage Board, Committee, and General Meetings.Draft agendas, minutes, resolutions, and maintain statutory records.Ensure timely circulation of meeting notices and papers to Directors.Corporate Governance & Risk :
Maintain and update the compliance calendar.Liaise with external auditors, legal advisors, and regulators as required.Secretarial Audit & Annual Filings :
Coordinate and support Secretarial Audit, Internal Audit, and other statutory audits.Oversee annual return filings, XBRL filings, and other ROC requirements.Stakeholder & Investor Relations Support :
Support investor grievance redressal.Coordinate with RTA and legal teams for share transfers, dividends, and corporate actions.Preferred Candidate Profile
6 to 8 years (Post qualification experience as a Company Secretary, preferably in a listed NBFC or financial institution)In-depth knowledge of corporate laws, SEBI regulationsExcellent communication and drafting skillsAttention to detail and ability to meet deadlines
