Role Overview
A corporate / transactional lawyer in this role advises startups, growth companies, and investors on venture capital fundraising, private equity investments, and related corporate
transactions. The lawyer is responsible for structuring deals, drafting and negotiating agreements, ensuring compliance with applicable laws, and protecting the client’s interests
in venture financing and strategic transactions.
Key Responsibilities
Transaction Structuring & Advisory
Advise startups and investors on structuring equity and debt fundraising rounds (Seed, Series A, B, C, etc.).
Guide clients on valuation, ownership dilution, exit strategies, and governance rights.
Structure transactions for mergers, acquisitions, joint ventures, and strategic investments.
Drafting & Negotiation
Draft, review, and negotiate term sheets, share subscription agreements (SSA), shareholders’ agreements (SHA), convertible notes, SAFE / KISS instruments, and other financing documents.
Negotiate transaction terms with venture capital funds, angel investors, and private equity firms.
Due Diligence & Compliance
Conduct legal due diligence on target companies, focusing on corporate governance, intellectual property, contracts, regulatory issues, and financial compliance.
Identify risks and provide risk-mitigation strategies.
Ensure compliance with corporate, securities, FDI, and regulatory frameworks.
Fundraising Advisory
Support startups in preparing for fundraising (cap table management, corporate housekeeping, IP protection).
Advise venture funds on fund structuring, compliance, and investment documentation.
Liaise with financial advisors, bankers, and tax consultants.
Post-Deal Support
Ensure smooth closing of transactions, filings with regulators (e.g., RoC, SEBI, RBI in India), and post-closing compliance.
Advise on ongoing investor rights, governance, and dispute resolution.
Skills & Competencies
Strong understanding of corporate laws, securities regulations, and venture financing structures.
Excellent drafting and negotiation skills.
Knowledge of cross-border investment laws and FDI regulations.
Strong analytical ability to assess legal risks in investment transactions.
Ability to work with founders, investors, and multiple stakeholders under tight timelines.
