MAJOR RESPONSIBILITIES AND FUNCTION OF THIS POSITION1. Handling all secretarial matters including holding of Board and Shareholders’ Meetings, drafting of Resolutions, Notices and Agendas and preparation of Minutes, maintaining Statutory Registers and Records.
2. Preparation of various forms / returns including RoC forms and filing of the same.
3. Dealing with various Regulatory Authorities and Auditors.
4. Coordinating with internal departments to ensure compliance.
5. Preparation of Annual Reports, various policies as applicable and SOPs.
6. Handling RBI, FEMA and Stock Exchange Compliances, where applicable.
7. Ensuring sound Corporate Governance Practice across the Company as part of :
- Compliances of Companies Act, 2013
- Compliance of SEBI (LODR) Regulation, 2005
- Compliance of Secretarial Standards
8. Monitoring changes in relevant corporate legislation and the regulatory environment, and sharing the same with Management as and when required
- QUALIFICATIONS & EXPERIENCE
Member of Institute of Company Secretaries of India (ICSI) with 10 years of experience as Company Secretary. Graduate with degree in Law shall be preferred.
