Key Responsibilities :

  • Ensure compliance with the Companies Act, SEBI, RBI, and other statutory and regulatory requirements.
  • Organize and manage Board Meetings, Committee Meetings, and Annual General Meetings (AGMs), including drafting minutes, agendas, and resolutions.
  • Handle Registrar of Companies (ROC) filings, maintain statutory registers, and ensure accurate corporate records.
  • Support senior management in corporate governance, regulatory reporting, and secretarial audits.
  • Liaise effectively with auditors, regulators, legal counsels, and other stakeholders.
  • Draft, review, and vet agreements, contracts, and other legal documents.
  • Monitor and ensure timely filings, disclosures, and statutory compliance reports.
  • Assist in implementing best practices in corporate governance and risk management.

Required Skills :

  • Strong knowledge of company law, SEBI guidelines, RBI regulations, and corporate governance practices.
  • Proficiency in drafting minutes, resolutions, and legal documentation.
  • Excellent communication, coordination, and stakeholder management skills.
  • Attention to detail and ability to manage multiple compliance deadlines.
  • Strong analytical and problem-solving abilities.
  • Proficiency with MCA / ROC e-filing systems and MS Office tools.
  • High ethical standards and a commitment to Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
  • Bachelors degree in Commerce, Law, or Finance is preferred.
  • Additional certifications in corporate governance or compliance will be an added advantage.
  • Experience : 25 years of post-qualification experience in secretarial and compliance functions, preferably in NBFC, financial services, or listed companies
