Role Overview
The Deputy Company Secretary plays a critical role in supporting the Company Secretary in ensuring full compliance with statutory, regulatory, and governance requirements. The position involves managing end-to-end secretarial activities, overseeing statutory filings, ensuring adherence to MCA, SEBI, and stock exchange regulations, and enabling strong governance practices across the organization. The role also involves coordinating Board and Committee meetings, maintaining statutory records, and supporting stakeholder communication, thereby strengthening the organisation’s compliance culture.
Key Roles & Responsibilities
Ensure timely and accurate statutory filings with regulatory bodies including MCA, SEBI, stock exchanges, and other authorities.
Assist in implementing and monitoring corporate governance frameworks aligned with the Companies Act and SEBI regulations.
Coordinate and support Board meetings, Committee meetings, and Annual General Meetings—preparing agendas, drafting minutes, maintaining action trackers, and ensuring confidentiality.
Maintain statutory registers, records, filings, and documentation in compliance with legal and regulatory guidelines.
Facilitate transparent and accurate communication with shareholders, regulatory authorities, auditors, and consultants.
Provide advisory support to internal stakeholders—CFO, Company Secretary, business heads—on governance and compliance requirements.
Support development and execution of governance SOPs, compliance tracking systems, and documentation standards.
Contribute to building an organisation-wide compliance mindset by ensuring awareness and training on governance practices.
Key Skills & Experience Required
Qualified Company Secretary (ICSI member); additional qualification in Law or Corporate Governance is a plus.
2–5 years of post qualification experience in secretarial and compliance roles, preferably within a manufacturing or industrial organisation.
Strong knowledge of corporate governance, statutory reporting, regulatory filings, and Board / shareholder management.
Proficiency in record-keeping systems, compliance tracking, and stakeholder communication.
Strong personal effectiveness, collaboration, result orientation, and customer-centric approach.
Ability to manage multiple stakeholders, maintain confidentiality, and ensure accuracy and compliance at all times
