Job description
- Analysing various proposals for acquisitions received by the Company
- Studying various documents for Due diligence (primarily Financial Statements, Accounting records, Loan Documents, Legal, Commercial, Taxation, Regulatory as well as understanding of technical, contractual and operational aspects), preparation of DD reports, evaluation of valuation impacts and dealing with DD Agencies, if any
- Understanding and Preparation of Financial model, financial projections , undertake valuation exercise and analyse various financial ratios (IRR, NPV, Enterprise Value, Book Value, Free Cash flows to the firms, Free Cash flows to the equity)
- Preparation of Reports, Presentations, providing options / recommendations to the management on the proposals
- Preparation of non-binding offers, binding offers, non-disclosure agreements, share purchase agreements and other transaction documents.
- The above stated responsibilities will be modified based on business requirements.
