We are seeking a diligent and experienced Company Secretary to join our team. The ideal candidate will have 8-10 years of post-qualification experience and possess a strong understanding of corporate governance, compliance, and secretarial practices. The role involves providing assistance and advisory support on the corporate secretarial work of the MMCs entities across the globe.
Key Responsibilities :
Performing work on Diligent Boards and Diligent entities related to company secretarial duties and compliance obligations
Provide advisory support on company documents and ensure compliance with statutory requirements
Review and assist in the preparation and / or review of annual accounts and financial statements
Conducting and participating in catch-up calls, including training sessions, to ensure team and onshore partners engagement.
Handling directorship-related work, including maintaining statutory registers and filings
Preparation of circular resolutions and other board resolutions as required
Attending meetings, including board and committee meetings, and prepare minutes and related documentation
Reviewing and verifying various corporate documents for accuracy and compliance
Assisting in the preparation and filing of statutory forms and documents with regulatory authorities
Supporting in corporate governance practices and ensure adherence to legal and regulatory frameworks and compliances.
Assisting in setting up the team and identifying gaps to set up standard operating procedures.
Qualifications & Skills :
Qualified Company Secretary (ACS or equivalent)
8-10 years of post-qualification experience in a similar role
Strong knowledge of corporate laws, and compliance requirements.
Excellent communication and interpersonal skills
Attention to detail and high level of diligence
Ability to handle multiple tasks and meet deadlines
Proficiency in MS Office and secretarial software
Preferred Attributes :
Prior experience in advisory roles related to corporate governance
Strong organizational and documentation skills.
