Job Purpose
The In-House Legal Counsel will be responsible for overseeing all corporate legal matters, ensuring compliance with Indian
laws (particularly the Companies Act, 2013), providing strategic legal guidance, and managing high-stakes arbitration and
dispute resolution. The ideal candidate will bring not only deep legal expertise but also strong leadership and strategic vision,
with a proven track record of managing legal teams, advising senior management, and driving compliance and risk manage-
ment initiatives.
This role requires a dynamic and solution-oriented legal professional with a keen understanding of both legal and business
objectives, enabling the company to grow while safeguarding its interests.
Major Accountabilities
Arbitration & Dispute Resolution
- Lead arbitration and dispute resolution efforts, including pre-litigation strategy, settlement negotiations, and structuring
favorable terms in settlements thereby managing the company's position in the arbitration proceedings.
Provide strategic direction for managing legal disputes and advise senior management on the optimal course of action inlitigation and arbitration. Advise on Alternative Dispute Resolution (ADR) mechanisms, including mediation and concili-
ation, to avoid protracted litigation and ensure quicker resolutions.
Litigation and Regulatory Matters :
Oversee and manage the company’s litigation strategy, acting as the primary legal advisor on litigation matters.Coordinate with external legal counsel on complex legal issues and ensure that the company’s legal strategies align withoverall business goals.
Advise on compliance with Indian regulatory authorities such as SEBI, RBI, and the Ministry of Corporate Affairs (MCA).Corporate Governance and Compliance (Companies Act, 2013) :
Advise senior management on corporate governance practices, ensuring compliance with the Companies Act, 2013, andrelated regulations.
Lead the preparation of corporate filings, board resolutions, shareholder agreements, and statutory documents, ensuringtimely compliance with legal requirements.
Monitor legal and regulatory changes and assess their impact on the company’s operations.Contract Management and Negotiation :
Oversee the negotiation, drafting, and review of various business contracts, ensuring legal enforceability and minimizingrisk exposure.
Identify potential legal risks in business agreements and lead the development of risk mitigation strategies.Ensure that all contracts and agreements align with the company’s business objectives and legal requirements underIndian law.
Intellectual Property (IP) Strategy and Protection :
Direct the company’s approach to intellectual property management, including patents, trademarks, copyrights, andtrade secrets.
Ensure the protection and enforcement of the company’s intellectual property rights, handling disputes, registrations,and licensing agreements.
Manage IP portfolios, ensuring compliance with relevant IP laws and maximizing value.Risk Management and Legal Advisory :
Identify legal risks in business operations and lead efforts to mitigate risks through sound legal advice and policy imple-mentation.
Collaborate with senior management and business units to provide proactive legal support for strategic initiatives, ac-quisitions, and new business ventures.
Advise on legal aspects of business transactions, including mergers, acquisitions, joint ventures, and corporate restruc-turing.
Mergers, Acquisitions, and Corporate Transactions :
Lead legal aspects of mergers, acquisitions, joint ventures, and other corporate transactions.Manage due diligence processes, negotiate transaction terms, and ensure compliance with Indian laws and regulatoryapprovals.
Oversee the integration of new acquisitions or business units, ensuring legal compliance at every stage.Stakeholder and Board-Level Support :
Regularly interact with the board of directors and senior leadership, providing updates on legal risks, regulatory chang-es, and key legal matters affecting the business.
Advise on corporate governance and shareholder relations, and represent the company in shareholder meetings andcorporate events.
Lead the legal team in preparing presentations, reports, and legal opinions for the board and other key stakeholders.Educational Qualification :
Degree (LLB / LLM) from a recognized Indian law school.Experience
Atleast 10 years of experience in handling litigation and arbitrationsIn-depth knowledge of the Company Law and the associated Companies Act, 2013, Indian Contract Act,1 1872, IndianArbitration and Conciliation Act, 1996, and related dispute resolution procedures and other related regulations.
Skills
Excellent interpersonal skills to liaise with board members, senior management, and external stakeholders.Leadership abilities to manage a team and drive a compliance-focused culture.Multilingual proficiency in languages relevant to the region, such as Hindi, Marathi, etc. is a plus.Key Performance Indictors

The role involves a dynamic and high-pressure environment, with regular engagement with senior leadership and exter-nal stakeholders.
Travel may be required for regulatory meetings, investor engagements, and board meetings.
