JOB DESCRIPTION Functional Role- Company Secretary Experience- 8-10 Years Description : - The ideal candidate should possess substantial hands-on experience in managing matters related to Overseas Direct Investment (ODI), adhering to regulatory requirements set forth by the Reserve Bank of India (RBI), and ensuring full compliance with the provisions of the Foreign Exchange Management Act (FEMA). - Compliance Management for Overseas Subsidiaries : The candidate must have demonstrable experience in overseeing compliance requirements for subsidiaries located outside India. This includes a strong understanding of both Indian and international regulatory frameworks, with a proven track record of ensuring adherence to applicable compliance standards across jurisdictions. - Experience in Listed Companies : Candidates must have prior experience working with a listed company, with a clear understanding of the compliance, governance, and disclosure requirements applicable to such entities. Required Knowledge and Experience : The candidate must possess comprehensive knowledge and hands-on experience in the following areas : - Regulatory Compliances : In-depth understanding and practical experience in handling compliances related to BSE, NSE, SEBI, FEMA, and RBI regulations. - Overseas Investments : Experience in managing Overseas Direct Investment (ODI) matters, including obtaining necessary approvals from RBI and ensuring compliance with FEMA for investments outside India. - Corporate Governance : Proficient in organizing and conducting Board Meetings, Extraordinary General Meetings (EGMs), Annual General Meetings (AGMs), and various committee meetings, including the preparation and drafting of minutes and related documentation. - Legal Documentation : Skilled in drafting, reviewing, and negotiating legal agreements such as Share Purchase Agreements, Merger and Acquisition-related agreements, Shareholders’ Agreements, and other corporate legal documentation.
