Role Objective :
To lead and provide strategic legal guidance on mergers, acquisitions, strategic investments, joint ventures, and related corporate transactions across domestic and international markets. The role requires strong transactional experience, commercial acumen, and the ability to independently manage complex deals from ideation to closure.
Key Responsibilities :
1. M&A and Investment Transactions
- Lead the legal execution of mergers, acquisitions, divestments, joint ventures, and strategic investments.
- Draft, negotiate, and finalize key transaction documents including NDAs, term sheets, SPAs, SHAs, JVAs, and investment agreements.
- Work closely with business, finance, and strategy teams to structure and execute investment proposals and corporate transactions.
2. Due Diligence and Risk Management
Conduct and supervise legal due diligence on target entities or assets.Identify key legal, regulatory, and contractual risks and propose actionable mitigation plans.Summarize findings and recommendations for senior management and investment committees.3. Transaction Structuring and Advisory
Advise on deal structuring, regulatory implications, and optimal frameworks under Companies Act, FEMA, SEBI, and Competition Act.Support valuation, tax, and finance teams with legal insights into transaction economics.Manage cross-border transactions and coordinate with local counsel in relevant jurisdictions.4. Governance and Post-Deal Integration
Support integration, restructuring, and governance setup post-transaction.Ensure compliance with all applicable legal and regulatory requirements.Work with internal stakeholders to streamline policies and corporate structures post-acquisition.5. Stakeholder & External Counsel Management
Liaise with external law firms, investment bankers, and consultants to manage transaction execution.Engage with senior leadership, boards, and regulatory bodies for deal approvals and strategic alignment.Represent the company in negotiations with counterparties and their advisors.Qualifications :
LL.B. from a reputed national or international law schoolMinimum 12 years of post-qualification experience.Significant tenure (5–7 years) in a top-tier law firm’s M&A / PE / corporate practice, followed by in-house experience in a large corporate group preferred.
