Our prestigious customers include some of the largest brands in HORECA, Hospitality, Food and Ice cream industryJob Summary : - We are seeking an experienced and qualified Company Secretary & Compliance Officer to ensure robust corporate governance and full compliance with applicable laws, regulations and listing requirements. This dual role involves advising the Board and senior management on governance, regulatory and disclosure matters while overseeing all secretarial and compliance functions in alignment with the Companies Act, SEBI regulations and stock exchange requirements. The ideal candidate will have 8–12 years of experience in a secretarial and compliance role within listed entities and will bring deep domain expertise, leadership capabilities and stakeholder management skills, ensures to maintain highest standards in corporate governance and ensure compliance with applicable laws.Key Responsibilities : Corporate Governance & Board Management- Organize and manage all Board and Committee meetings (Audit, Nomination & Remuneration, CSR, etc.) including agenda planning, documentation and minutes.- Advise the Board of Directors on corporate governance matters, statutory responsibilities and emerging compliance risks.- Coordinate board evaluations, appointments, reappointments and director onboarding.- Ensure the timely dissemination and confidentiality of board and committee materials.Statutory & Regulatory Compliance- Ensure compliance with the Companies Act, SEBI Regulations, SEBI and other applicable laws.- Prepare and file statutory forms, returns and disclosures with MCA, SEBI, stock exchanges (NSE / BSE), and RBI as applicable.- Oversee maintenance of statutory registers, records and corporate filings.- Manage compliance certifications, secretarial audits and liaison with internal / external auditors.Shareholder & Stakeholder Management- Manage shareholder communications, general meetings (AGM / EGM), dividend distribution and investor grievances.- Coordinate with RTA for share transfers, demat / remat, and other investor-related activities.- Ensure timely disclosures and transparent communication with stock exchanges and regulatory authorities.Policy & Framework Development- Monitor changes in regulatory environment and update company policies and procedures accordingly.- Promote compliance culture through training and awareness programs for employees and directors.Compliance Risk Management- Establish internal compliance monitoring frameworks and compliance checklists.- Identify and report potential non-compliance or governance risks to senior management and the Board.- Work with internal teams to strengthen governance controls and risk mitigation strategies.Requirements and skills : - Qualified Company Secretary (CS) from ICSI.- 8–12 years of relevant experience in secretarial and compliance functions, preferably in listed companies.- In-depth understanding of SEBI regulations, stock exchange listing obligations, Companies Act and corporate governance norms.- Strong analytical and problem-solving skills, with the ability to interpret complex legal and regulatory issues.- Excellent communication and interpersonal skills, with the ability to interact effectively with individuals at all levels of the organization.- Attention to detail and a commitment to accuracy and confidentiality.- Ability to work independently and manage multiple tasks simultaneously in a fast-paced environment.- Proficiency in MS Office and other relevant software applications"Budget : -10-11L pa, but not a constraint for right candidate"
