e are seeking an experienced and proactive Secretarial and Legal Head to lead our corporate secretarial and legal function. This role is critical to ensure legal compliance, manage corporate governance, mitigate legal risks, and provide strategic legal and regulatory guidance to the leadership team. The ideal candidate will bring strong experience from a corporate or legal background, preferably in a startup or high-growth environment along with Legal due diligence, fund raise via Primary and Secondary transactions.

Key Responsibilities :

Company Secretarial Responsibilities :

• Ensure compliance with Companies Act, 2013 and other applicable laws and regulations.
• Maintain statutory registers, records, filings, and board documentation.
• Draft, review, and manage Board and General Meeting agendas, minutes, and resolutions.
• Manage ROC filings, annual returns, and other secretarial compliances.
• Liaise with regulators (MCA, RBI, SEBI, etc.) and external advisors on secretarial and compliance matters.
• Oversee ESOP administration and ensure timely filings and disclosures.
• Ensure good corporate governance practices.
• Secretarial audit and Due diligence along with drafting of SHA, SPA and SSA and execution of end to end transaction
