Position : Legal Associate : Transactions (M&A and PE / VC)

Location : BKC, Mumbai

Job Responsibilities :

• Drafting and vetting transactional documents for startups(term sheets, investment agreements, share subscription & shareholders agreements, share purchase agreements, closing documents to the transactions, and the like).
• End-to-end support to the team for the completion of an Investment Transaction from due diligence, pre-closing, and post-closing transaction-related matters.
• Assist on a broad variety of matters from complex matters to routine standard matters : Company Law, Data Protection, Commercial Contracts, Foreign Investments, Acquisitions, Investment Exits
• Knowledge and interest in broad areas of corporate and transactional matters, including disclosure and reporting, corporate governance, investments, and general awareness of the nuances of the start-up ecosystem.
• Advice on diverse complex structures based on varied business models with multiple marquee startup founders and investors
• Strong ability to understand various legal and commercial clauses and advise / negotiate the / for clients.
• Exposure to cross-functional training including regulatory and finance
