Job Summary
To ensure optimum efficiency from the Section whilst maintaining all required controls and procedures.
To maintain working relationship with the officials of the various market intermediaries (Stock Exchanges, Registrars, Issuers / Companies, Depositories, Other Custodians)
To supervise and manage the Corporate Action Sub-Sections by ensuring that all operations are working in line with laid down controls, procedures and all regulatory requirements and achieve established targeted standards of productivity and client services
To maintain a positive working with personnel of the other Sections / Divisions of the Bank.
Key Responsibilities
To supervise and manage timely and accurate processing and reporting related to of following transactions / activities :
Monitoring, Recording and reporting of corporate action announcements on equity and Debt securities for domestic and regional custody clients
Reconciliation of client eligibility for corporate action events on key dates and reporting of securities and cash entitlements to clients
Tracking and processing of circulars, notices issued by exchanges, depositories impacting securities held by clients
Follow-ups, collection, and processing of Corporate Actions Benefits (Cash and Securities) on Equity and Debt Securities held by clients
Handling client responses & execution of Voluntary Corporate Actions including PUT / CALL options
Clients' subscription through Primary Market transactions in Equity / Debt IPOs and QIPs
Proxy services offered to clients including follow-up for agendas / annual reports, dispatch of the same to clients, execution of proxy instructions, procurement and dispatch of meeting updates.
Investments made by FDI / FVCl / FPI clients through Private Placements and security for the same is received on a timely basis.
Processing of Demat / Remat / Repurchase instructions of clients.
Inwarding of Demat / Physical securities.
Follow up Debt IPO allotments and ensure timely credit to clients.
Activities related to Transfer processing for securities held in physical certificates
Assist Team Leader / Section Head in any adhoc assignments

Must ensure all the laid down controls, procedures and regulatory requirements are followed and achieve established targeted standards of productivity. Strive to provide a high level of quality service to all clients and stakeholders, and to ensure that all processes are handled in a compliant and efficient manner. Responsible for timely highlighting / escalating issues, reporting of exceptions and operational challenges, high volumes in assigned BAU operations to Team Leader / Line Manager.

Qualifications
Education
Graduate of any stream
Should have
Sound custody operational skills including knowledge about physical mode of settlement.
Knowledge of market practices in trading and about different corporate events.
Knowledge of Corporate Action SWIFT messages.
Good interpersonal skills to deal with counter parties / companies / registrars.
Knowledge of SEBI (DIP) guidelines and broad idea of Companies Act.
