Position Overview :
The Chief Law Officer (CLO) will lead the legal function of the organization, ensuring compliance with all applicable laws, regulations, and internal policies. The CLO will advise the Board and senior management on legal risks, oversee litigation and regulatory matters, and ensure robust legal frameworks are in place for all business operations.
Key Responsibilities :
- Provide strategic legal advice to the Board, CEO, and senior management on corporate, regulatory, and contractual matters.
- Ensure compliance with Indian laws and regulations including Companies Act, SEBI regulations, FEMA, Insolvency & Bankruptcy Code (IBC), and other applicable statutes.
- Vet, draft, and negotiate key legal documents including contracts, MoUs, shareholder agreements, loan documents, and vendor agreements.
- Represent the company in high-value or sensitive litigations, arbitrations, and negotiations; liaise with external counsel and regulators.
- Oversee and manage all legal risks and advise on risk mitigation strategies.
- Lead due diligence processes in mergers, acquisitions, restructuring, or other significant transactions.
- Guide internal departments on labour laws, property laws, taxation laws (to the extent of legal interpretation), and data protection regulations.
- Manage compliance programs and ensure periodic internal legal audits are conducted.
- Monitor changes in legislation and advise the company on the implications of new laws or judicial pronouncements.
- Train and develop legal team members and ensure capacity-building within the department.
Qualifications and Experience :
LL.B. or LL.M. from a reputed Indian universityMinimum 10-15 years of legal experience, preferably with a finance company or with a reputed law firm.Strong understanding of corporate, banking, financial, commercial, and regulatory laws.Experience handling legal issues in regulated sectorsSkills and Competencies :
