Position Overview
Rx100 Ventures is seeking a Company Secretary (Governance & Compliance Officer) to lead secretarial, governance, and statutory functions for the group. The role is ideal for someone who enjoys precision, process ownership, and ensuring that governance translates into organizational discipline. The ideal candidate will be detail-driven, highly organized, and eager to contribute to a fast-paced and innovation-led environment.
Key Responsibilities
1. Governance & Board Administration
- Organize and manage Board, Shareholder, and Council meetings across all group entities.
- Draft and review notices, agendas, resolutions, and minutes in line with statutory and governance requirements.
- Maintain statutory registers, decision logs, and Board action trackers to ensure transparency and traceability of decisions.
- Coordinate the implementation of Board and Committee decisions in collaboration with relevant stakeholders.
2. Statutory Compliance & Filings
Ensure full compliance with the Companies Act, FEMA regulations, SEBI guidelines (where applicable), and other corporate laws.Prepare and file statutory returns, annual filings, and event-based disclosures with ROC, MCA, RBI, DIFC Registrar, and other authorities.Maintain and periodically update compliance calendars to ensure timely renewals, filings, and regulatory submissions.Safeguard the accuracy and integrity of statutory records and company documentation.3. Entity Management & Structuring Support
Maintain and update master data for all group entities, including SPVs, Foundations, and Holdings.Support the incorporation, restructuring, and dissolution of entities, ensuring governance documentation remains compliant and consistent.Liaise with Corporate Service Providers (CSPs) for registered office, licensing, and statutory representation requirements.4. Policy Planning
Develop and implement governance procedures, checklists, and secretarial controls across entities.Establish and monitor internal policies and templates to minimize legal and compliance risks.Conduct periodic compliance and governance reviews; prepare reports for senior management or Board review.Uphold confidentiality, ethical governance, and document integrity standards across all governance processes.Requirements
Qualified Company Secretary (Member of ICSI) holding or willing to procure a valid Certificate of Practice (COP)2+ years of experience in legal, compliance, or governance roles with exposure to international projects or group structures.Strong knowledge of Indian corporate laws and regulatory complianceExcellent drafting, documentation, and record-keeping skillsAbility to manage multiple deadlines and interact confidently with stakeholdersHigh level of integrity, discretion, and attention to detailAbility to independently manage multiple projects and coordinate across functions and jurisdictions.What We Offer :
