We are seeking an accomplished Senior Company Secretary to lead the governance, compliance, and regulatory affairs of the organization. This leadership role involves working closely with the CFO, Board of Directors, and senior management to ensure robust corporate governance, seamless compliance with statutory and regulatory requirements, and effective stakeholder management.
The ideal candidate will have extensive experience in handling compliance for listed entities, SEBI (LODR) and stock exchange-related matters, and advising management on governance best practices, corporate structuring, and strategic initiatives.
Key Responsibilities :
1. Corporate Governance & Regulatory Filings
- Ensure end-to-end compliance with the Companies Act, 2013, Secretarial Standards, SEBI Regulations (LODR, PIT, SAST, etc.), and NSE / BSE guidelines.
- Oversee accurate and timely filing of all annual and event-based returns (AOC-4, MGT-7, MGT-14, DIR-12, DPT-3, CSR-2, MSME-1, etc.).
- Interpret and apply SEBI regulations relevant to stock brokers, including OBPP, Research Analyst, and Investment Advisor requirements.
- Lead internal audits and compliance reviews to ensure governance integrity.
2. Board & Committee Management
Lead the planning, organization, and conduct of Board, Audit, Nomination & Remuneration, Risk, and CSR Committee meetings.Draft high-quality agendas, board packs, notices, resolutions, and minutes in line with Secretarial Standards.Advise the Board on fiduciary duties, corporate structuring, and governance frameworks.3. Statutory Recordkeeping
Oversee the maintenance of all statutory registers, minute books, and compliance records.Ensure readiness for inspections, statutory audits, and due diligence exercises.4. Disclosures & Investor Communication
Manage all SEBI (LODR) disclosures including financial results, corporate governance reports, and management discussions (MD&A).Support the preparation of the Annual Report, investor presentations, and public disclosures.Liaise with investors, analysts, and regulators on corporate governance and compliance matters.5. Regulatory Liaison & Risk Management
Serve as the primary liaison with SEBI, ROC, NSE, BSE, and other regulatory bodies.Manage regulatory inspections, audits, and inquiries effectively.Anticipate regulatory changes and proactively update internal processes and controls.Ensure compliance with FEMA and other applicable laws impacting corporate operations.6. Strategic & Governance Advisory
Advise management and the Board on matters related to corporate restructuring, mergers, acquisitions, IPO preparedness, and due diligence.Participate in policy formulation, internal control reviews, and governance enhancement initiatives.Support capital market transactions and corporate actions from a secretarial and regulatory perspective.7. Stakeholder & Shareholder Engagement
Oversee AGM / EGM organization, voting processes, and shareholder communications.Handle investor grievances, dividend-related filings, and related statutory submissions.Ensure transparent and effective stakeholder communication channels.Desired Qualifications & Experience :
Qualification : Company Secretary (ACS / FCS) from ICSI.Additional qualifications such as LLB or MBA (Corporate Law / Finance) will be an added advantage.Experience : 8-10 years of post-qualification experience, preferably with :
Listed companies, NBFCs, stockbroking firms, or financial institutions.Proven exposure to SEBI, NSE / BSE, and MCA compliances.
Technical Expertise :
