1. Statutory Compliance Management
- Ensure compliance with Companies Act, 2013and related legal regulations.
- Manage ROC (Registrar of Companies) filings such as annual returns, financial statements and event-based filings.
- Maintain statutory registers, board meeting minutes, general meeting minutes and resolutions.
2. Regulatory Filings & Certifications
Handle MCA (Ministry of Corporate Affairs) filings, DIN KYC, DIR filings and any form changes required.File necessary documents with RBI, SEBI or GST.Ensure compliance with FEMA regulations for any international transactions (as applicable).3. Contract Management & Legal Support
Draft, review and maintain company agreements such as vendor agreements, service level agreements (SLAs), employment contracts, NDAs, MOUs and lease agreements.Coordinate with external legal consultants for notices, arbitration, or dispute matters.4. Company Law Advisory & Policy Updates
Advise management on changes in corporate laws, governance norms and compliance deadlines.Ensure the company’s Memorandum of Association (MOA) and Articles of Association (AOA) are updated if needed for business expansion (new business verticals, fundraising, etc.).5. Compliance Calendar & Risk Reporting
Prepare and maintain a compliance calendar for filings, registrations and renewal activities.Report compliance risks to senior management and recommend mitigation measures.6. Miscellaneous Corporate Secretarial Functions
Support the finance and audit teams during statutory audits or investor due diligence rounds.Manage secretarial audits and internal corporate governance audits annually.Assist with funding rounds documentation (if applicable — term sheets, SHA, SSA, cap table updates).
