Key Result Areas : 1. Contract Drafting and Review Drafting, reviewing, and vetting a wide range of contracts including :

• Supply and service contracts
• EPC (Engineering, Procurement & Construction) agreements
• O&M (Operations & Maintenance) agreements.
• Tender and bidding documents.
• HR & admin-related service contracts
• Transmission and utility contracts
• International contracts, NDAs, MOUs, standard T&Cs etc.
• Financing contracts

Ensuring legal and commercial risk mitigation, compliance with applicable laws, and alignment with internal policies. 2. Legal Opinions Providing detailed legal opinions and guidance on diverse matters including :

1. Bidding strategy and compliance

2. Right of Way (RoW) and land acquisition

3. Transmission Service Agreements (TSAs)

4. Share Purchase Agreements (SPAs)

5. Indemnity claims and contractual payment disputes

3. Land and Title Due Diligence Conducting land-related legal due diligence and title verification for project development. Assessing risks associated with land procurement and RoW. 4. Bid Review and Support Reviewing final bid submissions for infrastructure projects. Handle bid-related legal queries and provide prompt clarifications to the bidding team to ensure timely and accurate submissions. Legal due diligence for acquisition of Special Purpose Vehicles (SPVs) post project awards. Evaluate contractual, corporate, and land-related risks for smooth transition and integration. 5. Negotiation and Finalization Engage in direct negotiations with external stakeholders and counterparties. Finalization of contracts by ensuring favourable legal positioning while maintaining business objectives. Should be able to do thorough risk analysis before entering into the agreements / contracts.
