Job Summary

We are seeking a qualified and experienced Company Secretary to ensure our organization complies with statutory and regulatory requirements and maintains high standards of corporate governance. The ideal candidate will have strong knowledge of company law, excellent organizational skills, and the ability to provide strategic advice to the Board.

Key Responsibilities

• Corporate Governance :
• Ensure compliance with legal and regulatory requirements; develop and implement governance policies.
• Board & Shareholder Meetings :
• Organize and manage board meetings and AGMs, prepare agendas, take minutes, and ensure decisions are communicated and implemented.
• Legal & Regulatory Compliance :
• Monitor changes in legislation, advise the Board, and ensure timely filings (annual returns, statutory registers).
• Company Administration :
• Maintain statutory books and records, handle share transfers, and manage secretarial documentation.
• Risk Management :
• Identify potential risks and assist in developing mitigation strategies.
• Financial Reporting Support :
• Assist in preparing accurate financial reports and ensure compliance with legal standards.
• Liaison :
• Act as a point of contact between the company, regulators, and stakeholders.
