Job Description :

Key Responsibilities : -

Corporate Governance

  • Ensure timely compliance with corporate governance codes, SEBI laws, Companies Act, and all other regulations applicable to a listed company.
  • Develop and implement internal policies / process to meet corporate governance standards, as per regulatory requirements.
  • Coordinate with external legal advisors and auditors including secretarial auditors on governance matters and bankers
  • Board and Shareholder Meetings
  • Co-ordinate for board meetings, annual general meetings (AGMs), and extraordinary general meetings (EGMs) and its pre and post work
  • Prepare agendas, notices, minutes, and resolutions of meetings.
  • Ensure that all board decisions are accurately documented
  • Maintain a proper record of all company meetings and resolutions.
  • Compliance and Regulatory Affairs
  • Monitor and ensure compliance with regulatory requirements, including the stock exchanges, ROC, RBI and other relevant authorities.
  • Submit regulatory filings such as annual reports, financial statements, and shareholder communications as required.
  • Timely completion of the Compliances as may be required under Companies Act, SEBI laws, RBI etc.
  • Stay updated on changes in laws and regulations affecting the company, particularly those related to SEBI, Companies Act, RBI etc.
  • To keep up to date all records of the Company as may be required under the Companies Act, Listing Regulations
  • Shareholder Relations and Communication
  • Ensure effective communication and timely dissemination of information to shareholders.
  • Oversee the handling of shareholder queries and concerns / grievances.
  • Coordinate the issuance of share certificates, dividend payments, and other shareholder-related matters.
  • Statutory Records and Filings
  • Maintain all statutory records and registers of the Company
  • Ensure that statutory filings are made accurately and on time
  • Coordinate the preparation of annual financial reports, ensuring compliance with the relevant accounting and regulatory standards.
  • Legal and Corporate Compliance
  • Assist in managing the legal affairs of the company, including reviewing contracts, agreements, and other legal documents including loan documents.
  • Liaise with legal counsel to manage disputes, contracts, and any legal matters.
  • Ensure that the company adheres to all legal and regulatory requirements for its operations, particularly in a manufacturing and listed company context.
  • Corporate Social Responsibility (CSR)
  • Support the company's CSR initiatives by ensuring compliance with regulations relating to CSR reporting and activities.
  • Ensure that CSR activities align with the company's values and regulatory requirements.

Education

Bachelors of Law (B.L / L.L.B)
