Job description

Role Overview :

We are seeking a qualified Company Secretary with 5 to 7 years of post-qualification experience, specializing in listing compliances (equity or debt), SEBI regulations, and IPO-related activities. The ideal candidate will ensure adherence to statutory and regulatory requirements and provide end-to-end support during IPO execution.

Job Responsibilities :

1. Listing & SEBI Compliances

  • Ensuring compliance with all regulatory and statutory requirements from a Secretarial perspective in connection with the process of IPO of a company.
  • Ensure ongoing compliance with SEBI (LODR) Regulations, 2015, Companies Act, 2013, Prohibition of Insider Trading regulations and other applicable laws on an ongoing basis post IPO.
  • Manage filings with Stock Exchanges (NSE / BSE) including quarterly, half-yearly, and annual submissions.
  • Coordinate with stock exchanges, depositories (NSDL / CDSL), and SEBI for disclosures and clarifications.
  • Monitor insider trading policies, disclosures, and maintain SDD (Structured Digital Database).
  • Facilitating, convening and conducting Board, Committee and General Meetings, postal ballots, preparing agendas, recording minutes and ensuring timely follow-up on action items and ensuring required correspondence is done with stock exchanges prior to and after such meetings.
  • Support corporate governance structuring, pre-IPO documentation, and regulatory clearances.
  • Support in processes from till Listing.

2. Corporate Secretarial Functions

  • Maintain statutory registers and records as required under the Companies Act.
  • Review and track filing of forms and returns with MCA (ROC) on a timely basis.
  • Draft board resolutions, notices, and agendas.
  • Monitor and implement corporate governance practices and policies.
  • Support group entities / subsidiaries with their secretarial compliance.
  • FEMA Related compliances and form filings.
  • Key Requirements :

  • Member of ICSI (Institute of Company Secretaries of India).
  • 5 to 7 years of relevant experience in listed companies or companies which have undergone IPO process.
  • Strong knowledge of SEBI regulations, LODR, Companies Act, and IPO process.
  • Proficiency in MCA21, BSE, NSE, SEBI, NSDL, CDSL portals and other compliance platforms.
  • Excellent drafting, communication, and organizational skills.
  • Ability to work under pressure and manage multiple stakeholders.
  • Managing communication with stakeholders (internal and external) and providing corporate information and documents on a timely basis, including co-ordination with R&T Agents, stock exchanges, directors, auditors, advisors, merchant bankers and regulatory bodies.
  • Staying up-to-date with regulatory changes and updates, and ensuring timely implementation of new requirements.
  • Strong analytical and problem-solving skills, with the ability to identify and mitigate potential risks.
  • Attention to detail and ability to maintain accurate records and sensitivity in handling confidential information.
  • Capable of working independently with minimal supervision.
  • Preferred Background :

  • Prior experience in a listed company.
  • Exposure to debt listing regulations or debt listed company.
