Key Roles and Responsibilities :
- Advise and support business teams (Sales, Marketing, Procurement, HR) in reviewing, negotiating, and closing a variety of contracts.
- Participate in contract negotiations with customers and vendors, ensuring alignment with internal policies and identifying legal risks.
- Manage global procurement legal matters, including :
- Master Service Agreements (MSA)
- Service Level Agreements (SLA)
- SaaS Agreements
- Consulting Agreements
- Data Privacy Agreements
- End User License Agreements (EULA)
- Channel Partner Agreements
- Non-Disclosure Agreements (NDA)
- Statements of Work (SOW)
- Order Forms
- Global RFPs
- Collaborate with external legal counsels on specific legal matters.
- Proactively identify key legal risks and escalate critical issues to management.
- Create, update, and maintain legal contract templates and streamline contract processes.
- Advise business teams on intellectual property (IP), data protection, and compliance with privacy laws and digital marketing regulations.
- Review client-side deal documents, ensuring alignment with industry standards and company policies.
- Engage with global customers and partners to review, draft, and negotiate contracts.
- Continuously improve legal drafts based on business and client needs.
- Draft and manage employment agreements, confidentiality clauses, and NDAs for employees and partners.
- Lead initiatives for trademark, patent, and other intellectual property registrations.
Requirements :
Bachelor's degree in Law (LL.B. or equivalent).5+ years of experience, preferably as an in-house counsel at an IT or SaaS company.Proven experience in SaaS and IT contracting.Strong understanding of contracts management principles and legal frameworks.Experience with a wide range of contracts including customer, partner, marketing, and vendor agreements.Strong commercial legal background with experience in drafting and negotiating complex agreements.Excellent communication, negotiation, and interpersonal skills.High attention to detail and strong documentation skills.Self-starter with the ability to work independently in a lean legal team setup.Adaptability to changing priorities with a high sense of urgency.Strong problem-solving, analytical thinking, and business judgment.Ability to understand and discuss technology-related legal issues.Skills Required
