Job description

Role Overview :

We are seeking a Legal & Compliance professional to oversee the legal functions of Avener AIF (SEBI Registered Cat III), Avener Green and Avener Capital. The key responsibilities are listed below :

Key & Documentation :

  • Draft, review, and negotiate contracts, engagement letters, term sheets, NDAs, and other commercial agreements.
  • Ensure legal accuracy, risk mitigation, and protection of business interests in all contract documentation.
  • Develop and maintain contract templates and documentation standards.

AIF Compliance (SEBI) :

  • Ensure compliance with AIF regulations and reporting requirements with SEBI.
  • Assist in preparation & submission of regulatory filings, investor communications, and fund governance documentation.
  • Maintain the compliance tracker and keep updated records of legal & regulatory matters related to AIF operations.
  • Liaise with auditors, trustees, fund administrators and regulators where required.

    • Renewable Energy Legal Coordination :

  • Work closely with internal business teams and external counsel for renewable energy project contracts and due diligence.
  • Review land due diligence reports, PPAs, EPC contracts, O&M agreements, and financing documents wherever applicable.
  • Assist in regulatory interpretation and compliance related to renewable energy transactions.

    • Governance & Risk Management :

  • Ensure the company's legal policies and frameworks are up-to-date and compliant with statutory requirements.
  • Support internal audit, corporate secretarial and governance-related activities.
  • Maintain organised records of legal documents, compliance filings, and contract database.

    • Key Skills & Competencies :

  • Strong understanding of SEBI AIF Regulations and compliance framework.
  • Experience reviewing legal agreements and drafting commercial contracts.
  • Familiarity with renewable energy sector legal documentation and due diligence (preferred).
  • Excellent legal research, documentation, and communication skills.
  • Ability to work with cross-functional teams and external legal counsel.
  • Attention to detail with strong analytical and risk assessment capability.

    • Qualification & Experience :

  • LLB / LLM from a reputed college.
  • 3-7 years of experience in a legal & compliance role, preferably in :
  • Investment funds / AIFs / NBFCs / Financial services OR
  • Renewable energy / infrastructure advisory or development firms
  • Experience in liaising with SEBI / regulators will be an advantage.
