Prepare and maintain secretarial documentation (agenda and minutes) for Board
Meetings, Committee Meetings, and Shareholders Meetings
Manage routine corporate actions such as increase in share capital, private placements, right issues and all periodic / annual filings under Companies Act, 2013, RBI and other regulatory bodies
Managing business licensing and regulatory registrations
Maintenance of statutory registers and minute books in compliance with applicable laws and regulations.
Assist in compliance and governance of overseas group entities (holding company and sister concerns of the Company)
Provide in-house support for overseas entities to the local consultants / counsels
Draft and review company policies and procedures.
Liaise with external stakeholders like auditors and regulators.
Ensure compliance of the organization with all applicable laws
REQUIREMENTS AND SKILLS
CS with 3-4 years of work experience in secretarial and legal function
Experience in banking / NBFC sector is preferred
Understanding of corporate law and governance
Experience in a secretarial or governance role is preferred
