Job Title : Company Secretary – Merchant Banking

Summary :

We are hiring a qualified Company Secretary to support our Merchant Banking team in handling regulatory compliance, documentation, and transaction execution. The role involves working on open offers, takeovers, IPOs, SME listings, rights issues, and other capital market assignments. Success in this role means ensuring accurate and timely compliance, smooth coordination with clients and regulators, and contributing to efficient deal execution. This position plays a key role in strengthening our regulatory processes and supporting overall merchant banking operations.

Responsibilities :

• Assist in IPO, SME IPO, takeover, open offer, and other merchant banking transactions.
• Prepare, review, and maintain statutory records including minutes, resolutions, and registers.
• Handle SEBI, ROC, MCA, and Stock Exchange filings with accuracy and within deadlines.
• Draft and support offer documents, due diligence reports, compliance notes, and transaction-related documentation.
• Coordinate with clients, auditors, legal advisors, registrars, and regulatory authorities.
• Monitor regulatory updates and ensure compliance with SEBI ICDR, SAST, LODR, and Companies Act.
• Manage investor communication, public announcements, and documents related to open offer processes.
• Maintain compliance calendars, documentation records, and support internal audit requirements.
• Assist the merchant banking team with research, client onboarding, and transaction support.
