Hiring for Associate Partner in Corporate and M&A team for multiple locations
Locations : Mumbai, Delhi & Bangalore
Experience : 7-9 Years in the corporate practice of a well reputed law firm(s) or a mix of law firm experience.
Education : A five-year law degree from a reputed university with a good academic record. ( Added advantage : LLM / CA / CS )
Roles and Responsibilities :
- Lead and manage corporate M&A transactions from inception to closing, including due diligence, negotiations, drafting agreements, and regulatory compliance.
- Provide strategic guidance to clients on structuring, and executing transactions involving mergers, demerger, slump sale, acquisitions, disinvestments, etc.
- Advise clients on interpreting complex legislative and regulatory actions relating to corporate transactions.
- Review of transaction documents such as term sheets, business transfer agreements, share purchase agreements, shareholder agreements, promoter / founder employment agreements, shareholder resolutions, notices, explanatory statements etc.
- Collaborate closely with other practice groups within the firm, including Tax, Competition Law, IPR teams, etc., to provide comprehensive legal solutions.
- Provide legal opinions on variety of corporate laws including, Companies Act, 2013, Foreign Exchange Management Act, 1999, Indian Contract Act, 1872, Securities Exchange Board of India (SEBI) laws, Reserve Bank of India (RBI) regulations.
