Role Overview:

We are looking for a dynamic Corporate Lawyer with 4-7 years of experience to join our Legal team. This role will play a key part in managing corporate transactions, M&A deals, debt and financing matters, and ensuring overall legal and regulatory compliance across the organisation. The ideal candidate should have strong exposure to Indian corporate laws and hands-on experience in transaction structuring and documentation.

Key Responsibilities:

- Drafting, reviewing, and negotiating MOUs, term sheets, transaction documents, and commercial agreements

- Managing end-to-end legal aspects of corporate transactions, M&A, restructuring, and debt deals

- Conducting legal due diligence and identifying potential risks with mitigation strategies

- Advising senior management on legal risks, structuring options, and compliance requirements

- Drafting and reviewing loan agreements, security documents, financing contracts, and related instruments

- Coordinating with banks, financial institutions, and external advisors on financing matters

- Handling legal aspects of property acquisitions and leases

- Reviewing vendor contracts, service agreements, and commercial arrangements

- Ensuring compliance with CBSE affiliation norms, education laws, and statutory requirements applicable to schools

- Managing CBSE-related documentation, filings, and regulatory correspondence

- Supporting internal teams on school-related agreements and compliance matters

- Staying updated on developments in Companies Act, IBC, FEMA, banking laws, and education regulations

- Ensuring adherence to internal governance frameworks and statutory requirements

Education - LLB / LLM from a recognised 4-7 years of experience in corporate law, preferably with exposure to:

- Corporate transactions and M&A

- Debt and financing documentation

- Education-sector compliance and CBSE regulations
