Role Purpose

As an Independent Director on the Board, you will bring strategic oversight and independent leadership in the domains of finance, governance and risk.

Key Responsibilities

• Provide independent judgement in board deliberations on strategy, performance, resource allocation, growth, and risk.
• Ensure that the Board has appropriate governance frameworks, board committee structures (e.g., audit, risk) and charters, and that independent director duties are fulfilled.
• Promote transparency and accountability : ensure financial, governance, risk disclosures are appropriate and stakeholder interests including minority shareholders are protected.
• Oversee and challenge financial performance, budgets, forecasts, cash flow management, capital structure decisions, funding strategy and financial risk exposure.
• Oversee the enterprise-wide risk management framework : strategic, operational, financial, compliance and reputational risks are identified, assessed, mitigated and monitored.
• Ensure compliance with relevant laws and regulations (including corporate law, financial reporting, industry-specific rules, data / privacy).
