Position Title : Assistant Manager (Legal & Corporate Affairs)
Reporting to : Head - Legal / Company in-house Counsel
Department : Legal & Corporate Affairs
Location : Aerocity, New Delhi
Key Responsibility Areas
- Contract Drafting, Review, and Negotiation
- Draft, review, and negotiate a wide range of commercial contracts, including :
- Service Agreements
- Vendor and Supply Agreements
- Consultancy Agreements
- Technology and Licensing Agreements
- Ensure contracts adequately protect the organization's interests and comply with applicable laws.
- Proactively identify legal risks and propose practical solutions during negotiations.
- Public-Private Partnership (PPP) Contracts :
- Review, draft, and negotiate PPP contracts and project agreements.
- Request for Proposal and RFP Documents
- Provide legal advice on structuring, risk allocation, and compliance aspects of PPP projects.
- Coordinate with internal and external stakeholders for successful closure of PPP transactions.
- Fundraising Contracts & Investment Agreements :
- Draft and review term sheets, shareholder agreements, subscription agreements, and other investment documents.
- Provide legal support during fundraising rounds, including interactions with investors and legal advisors.
- Ensure compliance with corporate laws, SEBI regulations, and other applicable regulatory frameworks.
- Mergers & Acquisitions (M&A) :
- Support in legal due diligence processes for potential M&A transactions.
- Draft, review, and negotiate transactional documents such as Share Purchase Agreements, Business Transfer
- Litigation, Arbitration & Dispute Management :
- Manage and coordinate ongoing litigation and arbitration matters.
- Liaise with external counsel, track progress, and ensure appropriate representation.
- Maintain database of disputes and regularly update management on risks and developments.
- Assist in pre-litigation dispute resolution, including negotiation and settlement discussions.
- Legal Risk Assessment & Compliance :
- Identify and mitigate legal risks in business operations and transactions.
- Provide practical, business-oriented legal advice to various functions.
- Ensure contracts and business practices align with applicable laws, regulations, and company policies.
Desired Profile
Qualification : LL.B. / LL.M. from a reputed institute.Experience : 3-6 years of relevant experience in contract drafting, PPP projects, fundraising agreements, M&A, and dispute management.Skills : Strong drafting and negotiation skills, understanding of commercial and legal risks, exposure to PPP frameworks, familiarity with corporate and investment laws.Preferred Background : Law firm and / or in-house legal team experience in infrastructure, energy, waste management, or similar(ref : iimjobs.com)
