About the Role :

We are looking for a Company Secretary (CS) who will play a key role in strengthening Virohan’s governance, compliance, and corporate structuring foundation. The role goes beyond routine filings — we are looking for someone who can build scalable governance processes, improve internal controls, streamline statutory workflows, and act as a trusted advisor on corporate matters as the company grows. This is ideal for someone who enjoys combining technical expertise with structured problem-solving, cross-functional collaboration, and the ability to design compliant, efficient systems for a high-growth organisation.

Key Responsibilities :

1. Corporate Governance & Statutory Compliance

  • Ensure compliance with Companies Act, FEMA, and relevant regulatory frameworks.
  • Manage board, committee, and shareholder meeting documentation (notices, agendas, minutes).
  • Maintain statutory registers and oversee timely filings and event-based compliances.

2. Fundraising & Equity Transactions

  • Partner with leadership and legal counsel during fundraising rounds — due diligence, documentation, and structuring support.
  • Manage issuance of securities, share allotments, transfers, and related statutory filings.
  • Maintain and update the cap table with accuracy and rigour.
  • Support ESOP administration, exercises, grants, and regulatory compliance.
  • 3. Corporate Law Advisory

  • Provide guidance on corporate matters such as governance, entity structuring, shareholder agreements, and board requirements.
  • Anticipate compliance risks and ensure the organisation is prepared for investor and regulatory scrutiny.
  • 4. Cross-functional Collaboration

  • Work closely with Finance during audits, due diligence, and regulatory submissions.
  • Coordinate with external lawyers, auditors, and consultants for specialised matters.
  • Ensure leadership has clear visibility into compliance timelines, risks, and governance status.
  • You are the right fit if :

  • You are a Qualified Company Secretary with 3–5 years of experience , ideally in a startup or high-growth organisation.
  • You have hands-on experience in fundraising support, due diligence, cap table management, ESOPs, or equity transactions.
  • You are strong in statutory compliance but also comfortable advising on corporate-law nuances.
  • You think structurally and can bring clarity to complex documents, agreements, and regulatory changes.
  • You are organised, reliable, and able to manage multiple time-sensitive requirements.
  • You communicate clearly and collaborate well with senior stakeholders.
