About the Role :
We are seeking a qualified and experienced Company Secretary (CS) to join our team. The ideal candidate will play a critical role in ensuring the company complies with all statutory and regulatory requirements while also supporting high standards of corporate governance.
What You’ll Own : Statutory Compliance
- Ensure timely compliance with all applicable corporate laws, including Companies Act, SEBI regulations (if applicable), and other statutory requirements.
- Maintain and update statutory registers, records, and filings.
- Prepare and file necessary forms with the Ministry of Corporate Affairs (MCA) and other regulatory bodies.
Board & Committee Meetings
Organize and coordinate Board, Committee, and General Meetings (AGM / EGM).Draft agendas, notices, board resolutions, and minutes.Ensure proper documentation and filing of resolutions and meeting outcomes.Corporate Governance
Act as a trusted advisor to the Board on corporate governance best practices.Ensure the company adheres to its charter, articles of association, and internal governance standards.Liaise with Directors and senior management for effective governance processes.Regulatory Liaison
Serve as the primary point of contact with regulatory authorities (MCA, ROC, SEBI, RBI, etc. as applicable).Coordinate audits, inspections, and responses to legal / regulatory notices.Secretarial Support for Transactions
Support legal and secretarial aspects of mergers, acquisitions, fundraising, or restructuring.Manage due diligence and ensure documentation is complete and compliant.Other Responsibilities
Assist with drafting and reviewing legal documents, contracts, and policies from a compliance perspective.Maintain confidentiality and handle sensitive corporate information responsibly.Stay updated with changes in laws and regulations affecting the company.We are looking for :
Qualified Company Secretary (ACS / FCS) with a valid membership from the Institute of Company Secretaries of India (ICSI).6–8 years of post-qualification experience as a Company Secretary, preferably in a corporate or listed entity.Strong knowledge of the Companies Act, SEBI Listing Obligations (if applicable), FEMA, and other relevant laws.Excellent drafting, communication, and interpersonal skills.High level of integrity, discretion, and attention to detail.Ability to manage multiple stakeholders and work independently.Preferred Qualifications (Optional)
LL.B. or other legal qualifications would be an added advantage.Experience working in a listed company, startup, or regulated industry (e.g., fintech, NBFC, manufacturing).
