Work Exp : 8yrs – 10yrs in legal & secretarial compliance roles in Nutrition, Pharma, FMCG, or D2C sectors.
Role & Responsibilities :
Legal Compliances :
- Provide legal support across business functions, including drafting and vetting agreements pertaining to manufacturing, supply, advertising, service providers, M&A (including documentation), leave & license and consultants.
- Lead, manage, and ensure compliance with all statutory obligations under the Companies Act and other applicable industry regulations, such as FSSAI, legal metrology and other applicable laws.
- Act as the primary point of contact on legal disputes, litigation management, and regulatory investigations, including maintaining compliance calendars and managing risk in advertising, product safety, and e-commerce.
- Advise management and the board on overall governance practices, risk assessments, compliance frameworks, and new regulations impacting business.
Secretarial Compliances :
Organize, prepare, and document board meetings, annual general meetings, and related statutory registers, ensuring timely preparation and filing of minutes and regulatory returns.Ensuring all related party transaction and compliance.Ensuring all the compliance as per corporate governanceMaintain statutory records, share registers, and ensure the company’s good standing with regulatory authorities.Trademark / IP management :
Oversee the company’s IP portfolio, including searching, registration, renewal, and protection of trademarks, copyrights, and patents related to nutraceutical formulations, brand assets, and packaging.Liaise with external IP counsel to manage oppositions, respond to notices, and handle infringement cases efficiently.Advise marketing and product teams on advertising claims and product packaging to avoid IP and regulatory violations.Transactional Tasks :
Liaison with law firms personnel for DD requisitions and conducting legal diligence.Prepare and review reports and findings.Highlights sector specific risks, include in DD and show mitigating actions for internal review.Preparing, vetting and negotiating SHA, SSA, and other related documentation.General Governance & Compliance :
Ensure alignment of all business activities with the company's internal guidelines and external legal obligations.Manage relationships with auditors, regulatory agencies, and outside counsel to ensure seamless governance and compliance.Qualification : Degree in Law (LLB) and preferably Company Secretary (CS) certification.
