Head Merchant Banking
We are looking for an experienced and driven Head Merchant Banking to lead our end-to-end merchant banking assignments, including Main Board IPOs, SME IPOs, Open Offers, Buybacks, Delistings, and Rights Issues. The ideal candidate will bring deep regulatory knowledge, strong leadership abilities, and a strategic mindset to manage complex transactions and drive the growth of the merchant banking vertical.
Key Responsibilities :
Lead and manage a team to execute end-to-end merchant banking mandates, including :
- Main Board IPOs
- SME IPOs
- Open Offers under SEBI SAST Regulations
- Buybacks and Delistings
- Rights Issues
- Conduct due diligence, prepare and vet offer documents, and ensure regulatory compliance throughout the transaction lifecycle
- Liaise with clients and various stakeholders including legal advisors, auditors, registrars, share transfer agents, SEBI, BSE, NSE, NSDL, CDSL, and other intermediaries
- Ensure proper documentation and adherence to merchant banking regulations and timelines
- Advise clients on corporate governance, listing obligations, and compliance under SEBI and Companies Act provisions
- Draft policies and frameworks under the Companies Act, 2013 and SEBI (LODR) Regulations
- Represent the firm before regulators and exchanges for approvals and queries
- Train and mentor the team on regulatory and operational aspects of merchant banking assignments
- Stay updated with evolving market regulations and adapt strategies accordingly
- Travel for client due diligence and regulatory meetings, as required
Candidate Requirements :
In-depth knowledge of :
Companies Act, 2013SEBI Regulations including ICDR, LODR, SASTIncome Tax, FEMA, Listing Guidelines, etc.Proven experience in leading merchant banking assignments (IPO, Buyback, Delisting, etc.)Strong communication, drafting, and presentation skillsTeam leadership and project management capabilitiesRelationship management skills with clients and regulatory bodiesWillingness to travel as required for project execution and client Company Secretary (CS) preferredOther finance / legal professionals with substantial experience in merchant banking, investment banking, or capital markets are also welcome(ref : iimjobs.com)
