Role Overview :
The purpose of this position is to provide legal advice on all matters relating to :
- Fund manager and the funds managed by the firm, the investments and divestments in private debt and private equity of the funds, the development of new funds and products, to ensure that :
- Funds effectively achieves its goals, and
- Funds adequately manage their legal, regulatory, and transactional, risks.
Your tasks :
1. Private debt investments
a. Designing of legal structures for financing transactions.
b. Drafting, revision and negotiating legal documentation of debt transactions.
c. Provide pre- and post-signing support.
d. Work closely with the investment and investor solutions teams on new funds and products.
2. Private equity investments
a. Providing legal and transactional advice to the PE team on PE deals.
b. Revision and negotiating legal documentation of investment and divestment transactions.
3. Work-out cases
a. Developing and supervising the implementation of effective and appropriate action plans for collections and workout activities.
b. Ensuring that restructurings are closed.
4. Corporate governance and housekeeping for regional offices in Cambodia and India
a. Providing day-to-day legal support on corporate matters.
b. Managing relationship with external local legal advisors on corporate matters..
5. Business Development
a. Advice on terms and structuring of funds and facilities, drafting and negotiating of documentation relating to funds and facilities around the world.
b. Drafting, revision and negotiating legal documentation for the onboarding of new investors and for the divestments of exiting investors.
c. Managing relationship with regulators to obtain approvals relating to funds and facilities.
Your profile :
You hold a Master of Laws obtained from a top university.You have an excellent academic track record.You have minimum 1 to maximum 3 years of relevant working experience in a company, consultancy firm or law firm with a focus on banking and finance (transactional and regulatory), investment funds or corporate and M&A.You have experience working in a professional international context (e.g. working for an international company, working outside of India or working for an Indian company with international customers).You have an excellent knowledge of English, both oral and written. If you are not a native English speaker, the minimum score required on the TOEFL is 104 and the minimum on the IELTS is 7.5. The test score should not be older than two years. Knowledge of other language (e.g. French) is desirable.You have an entrepreneurial and positive mindset, strong negotiation skills and a creative attitude to problem solving.You are enthusiastic to work in multicultural global organisation.You have a high energy level and are resilient to stress.You are process-oriented, having a strong ability to think in terms of processes and their improvement.You have a high level of integrity and high ethical standards and are a genuine team player.Our offer :
