The Legal Manager – Transaction Advisory & Documentation will be responsible for providing legal support for corporate, SME, and retail banking transactions, ensuring legally robust documentation, risk mitigation, and regulatory compliance. The role involves advising business teams on deal structures, drafting and vetting transaction documents, managing legal negotiations with counterparties, and supporting end-to-end execution of secured and unsecured lending, treasury, and investment-related transactions.
Key Responsibilities
1. Transaction Advisory Support
- Provide legal advisory for credit, treasury, trade finance, structured finance, and investment banking transactions.
- Evaluate term sheets, deal structures, security packages, covenants, and conditions precedent to highlight legal risks and mitigation measures.
- Participate in transaction discussions with business teams, credit, risk, and external counsels.
- Support structuring of complex transactions to ensure compliance with regulatory frameworks (RBI guidelines, FEMA, SARFAESI, etc.).
2. Drafting & Vetting of Legal Documentation
Draft, review, and finalize loan agreements, facility letters, security documents, pledge agreements, guarantee deeds, escrow agreements, inter-creditor agreements, and consortium documents.Ensure all legal documents adhere to bank policies, regulatory requirements, and industry best practices.Customise documentation for structured and non-standard deals.3. Legal Negotiation & Stakeholder Coordination
Lead negotiations with customers, counterparties, and external legal advisors to protect the bank’s interest.Work closely with internal stakeholders—Business, Credit, Risk, Compliance, Operations—to ensure smooth transaction execution.Coordinate with external law firms for legal opinions, due-diligence certifications, title verification, and documentation support.4. Due Diligence & Security Creation
Oversee legal due diligence for borrowers, collateral, and project documents.Validate title search reports, property documents, mortgage creation documents, and ROC filings.Ensure timely completion of security creation, perfection of charges, and compliance with conditions precedent and subsequent.5. Regulatory & Policy Compliance
Ensure all transaction documentation meets RBI, FEMA, SEBI, and other regulatory guidelines.Maintain timely updates to standard legal templates and documentation policy.Monitor changes in relevant laws and advise the bank on required modifications.6. Litigation Support (as required)
Provide legal inputs related to recovery, enforcement, and documentation-related disputes.Coordinate with litigation teams for matters arising due to documentation issues.Key Skills & Competencies
Strong knowledge of banking and financial laws, lending structures, and security creation.Expertise in drafting, vetting, and negotiation of banking / transaction documents.Good understanding of RBI regulations, FEMA, Companies Act, SARFAESI, Insolvency & Bankruptcy Code (IBC), and contract law.Ability to manage multiple transactions within tight timelines.Excellent communication, analytical, and stakeholder management skills.High attention to detail and strong risk-assessment capability.Educational Qualifications & Experience
LLB / LLM from a recognized university.5–10 years of experience in legal advisory and documentation within a bank, financial institution, NBFC, or reputed law firm handling banking / finance matters.Prior experience in structured transactions or corporate lending documentation is preferred.
