Job Summary : We are seeking a qualified and dynamic Company Secretary + Legal Executive to manage all secretarial, regulatory, and legal compliance functions for our renewable energy operations. The role involves ensuring full compliance under the Companies Act, 2013 , handling corporate governance , and managing legal documentation for solar projects , including land acquisition, project contracts, and power purchase agreements . Company Secretary Responsibilities (Corporate Compliance) :
1. Statutory Compliance & ROC Filings
o Ensure compliance with all provisions under the Companies Act, 2013 , LLP Act , and other applicable laws .
o Prepare and file MGT-7, AOC-4, ADT-1, DIR-3 KYC , and other ROC-related forms.
o Handle DIN , PAN , and Digital Signature (DSC) management for directors.
2. Board & Shareholder Meetings
o Schedule and organize Board Meetings , Annual General Meetings (AGMs) , and Extraordinary General Meetings (EGMs) .
o Draft Board resolutions , notices , agendas , and minutes for meetings.
o Maintain minutes books , attendance registers , and shareholders’ records as per statutory requirements.
3. Corporate Governance & Documentation
o Maintain statutory registers (e.g., Register of Members, Directors, Charges, Contracts).
o Ensure timely annual filing and record maintenance.
o Advise management on corporate governance frameworks , director remuneration , and board composition .
4. Liaisoning & Coordination
o Liaise with Registrar of Companies (ROC) , Regional Directors , Ministry of Corporate Affairs (MCA) , banks , auditors , and consultants .
o Handle company incorporation , alteration of capital , change in registered office , and appointment / resignation of directors .
5. Internal Advisory & Support
o Support management in the formation of new SPVs (Special Purpose Vehicles) for solar projects.
o Prepare share transfer documentation , board approvals , and compliance certificates .
o Maintain updated knowledge of renewable energy compliance regulations related to corporate filings.
B. Legal Responsibilities (Solar Project–Specific) : 1. Contract Drafting & Vetting
o Draft, review, and finalize :
§ Power Purchase Agreements (PPA)
§ Engineering, Procurement & Construction (EPC) Contracts
§ Operation & Maintenance (O&M) Agreements
§ Land Lease / Sale Agreements
§ Vendor / Subcontractor Agreements
§ NDA, LOI, and Consultancy Agreements
o Ensure all contracts align with the Electricity Act , Energy Regulatory Guidelines , and company policies .
2. Legal Due Diligence (Land & Project)
o Conduct due diligence for solar project lands — verify title documents , encumbrance certificates , 7 / 12 extracts , and mutation entries .
o Coordinate with local advocates for land verification and registration .
o Review land conversion documents (NA conversion, layout approvals) and lease deeds for project land.
3. Regulatory and Statutory Compliance for Projects
o Ensure project-level compliance with MNRE , DISCOM , and State Electricity Regulatory Commissions (SERC) .
o Maintain documentation for CEIG approvals , Net Metering applications , Open Access permissions , and PPA registrations .
o Support the BD and Project teams in obtaining NOCs , land approvals , and environmental clearances .
4. Litigation & Legal Coordination
o Handle and monitor ongoing legal cases, notices, or disputes related to contractual obligations , land , or vendors .
o Liaise with external legal counsels and manage document preparation for court filings or arbitration.
o Maintain a legal tracker for active and closed cases.
5. Risk Management & Compliance Advisory
o Identify potential legal risks in solar project contracts and advise management accordingly.
o Implement internal controls to mitigate legal exposure in vendor dealings and client contracts.
o Review insurance , indemnity , and termination clauses in all project documents.
6. Documentation & Record Management
o Maintain a centralized repository for all legal documents, agreements, and approvals.
o Track contract renewals, expiry dates, and payment obligations through a legal MIS.
