About the Role :
We are seeking a Company Secretary Senior Associate with strong experience in regulatory and compliance advisory within a consulting background. The role involves advising clients across NBFCs, financial institutions, and corporates on Companies Act, RBI, SEBI, and FEMA compliances, along with governance, secretarial, and regulatory liaison responsibilities.
Key Responsibilities :
Regulatory Advisory :
- Advise clients on compliance with laws and regulations including the Companies Act, SEBI Regulations, RBI Guidelines, FEMA, and other applicable frameworks.
- Interpret and analyze new regulatory developments, circulars, and notifications and assess their potential business impact.
- Provide strategic inputs on corporate structuring, governance, and regulatory implications.
Compliance Management :
Develop, review, and implement compliance frameworks, policies, and SOPs.Conduct compliance risk assessments, monitoring, and periodic reviews.Assist clients in designing and setting up internal compliance programs and reporting mechanisms.Governance & Secretarial Support :
Manage end-to-end corporate secretarial compliances, including board and shareholder meetings, filings, and maintenance of statutory registers.Advise boards on corporate governance best practices and evolving regulatory expectations.Prepare board presentations, agendas, and resolutions in line with statutory requirements.Regulatory Filings & Liaison :
Prepare and review filings, returns, and submissions with regulatory authorities such as MCA, SEBI, and RBI.Liaise with regulatory bodies for clarifications, representations, and inspections.Ensure timely submission of statutory and regulatory returns.Client Engagement & Project Management :
Lead client engagements independently, ensuring timely deliverables, accuracy, and quality outputs.Work collaboratively with legal, tax, and financial advisory teams to deliver integrated client solutions.Mentor and guide junior team members on compliance and regulatory matters.Required Skills & Attributes :
Strong knowledge of Companies Act, 2013 and RBI regulations (mandatory).Working knowledge of SEBI (LODR, ICDR, AIF Regulations) and FEMA preferred.Prior experience in NBFC setup, registration, or regulatory compliance will be an advantage.Excellent drafting, interpretation, and communication skills.Strong analytical and project management capabilities.Ability to handle multiple client engagements independently.
