Role Overview

We are seeking an experienced and detail-oriented Company Secretary to ensure compliance with all legal, regulatory, and statutory requirements. The role involves managing corporate governance practices, maintaining company records, organizing board meetings, and acting as a vital link between stakeholders and the board of directors.

Key Responsibilities (KRAs)

  • Ensure compliance with statutory and regulatory requirements under Companies Act and other applicable laws.
  • Draft, review, and maintain statutory registers, records, and company documentation.
  • Organize, prepare agendas, and draft minutes for Board Meetings, Annual General Meetings, and Committee Meetings.
  • Advise management and the board on corporate governance matters and regulatory changes.
  • File necessary returns, forms, and documents with MCA, SEBI, ROC, RBI, or other regulatory authorities.
  • Act as the point of contact between regulators, auditors, stakeholders, and legal advisors.
  • Manage secretarial audits, due diligence, and compliance reporting.
  • Provide strategic support to leadership in decision-making with respect to governance and risk management.
  • Safeguard company interests by ensuring transparency and accountability in compliance matters.
  • Assist in drafting corporate policies, contracts, and legal documents.

Required Skillsets

  • Strong knowledge of Companies Act, SEBI regulations, FEMA, and corporate governance practices.
  • Proficiency in handling board processes, drafting minutes, and managing secretarial records.
  • Excellent knowledge of compliance filings with MCA, ROC, SEBI, RBI, and other statutory authorities.
  • Strong analytical and problem-solving skills for handling complex governance and compliance issues.
  • Exceptional communication and interpersonal skills to liaise effectively with directors, regulators, and stakeholders.
  • Proficiency in MS Office Suite and compliance management tools.
  • Ability to multitask, work under pressure, and deliver within deadlines.
  • High ethical standards and attention to Master's / Bachelors degree in Law, Business Administration, or related field.
  • Membership of the Institute of Company Secretaries of India (ICSI) with valid membership number.
  • 4-8 years of relevant professional experience in corporate secretarial roles.
